General terms of business

Version dated 29 October 2026. The version attached to the signed engagement applies. French governs a French-language engagement; English governs an English-language engagement.

1. Scope and order of documents

In these terms, "AquaSands" means the AquaSands group company stated on your quote and on your invoice: AquaSands Trading AG (Switzerland), AquaSands Ltd (United Kingdom) or AquaSands LLC (United States, Delaware). "AquaSands" is also the common trading name of those companies. Each contracts in its own name for the services it sells and invoices; these terms apply identically to each, the common governing law and venue being set out in clause 10.

These terms govern administrative advice, feasibility studies, coordination, company formation, registered office services, bank account applications, residence and licensing assistance, and ongoing support. The signed engagement and its schedule specify the services ordered. In case of conflict, the engagement, then its schedule, then these terms prevail. A website page is neither a firm offer nor a promise that a service is available in every jurisdiction; the prices and information it shows are indicative, whereas the individual quote issued after the scoping call is firm.

AquaSands is a private entity, not affiliated with any government or public authority; it does not act on behalf of any State, and registration, licensing and residence decisions belong to the competent authorities.

2. Formation and onboarding

An engagement begins after both parties sign, accept the schedule, the agreed payment is received and onboarding checks are approved. AquaSands may decline before approval. The feasibility file, once delivered, remains acquired and is credited against what follows if the client proceeds. If AquaSands declines the file before execution work begins, it refunds the amounts paid towards execution, less external costs already incurred and documented. No submission to an authority or partner occurs before approval.

3. Standard of performance

AquaSands performs with reasonable professional care and coordinates local specialists where needed. It undertakes an obligation of means, not an outcome guarantee. Banks, registries, authorities and regulators make their own decisions. Incorporation, account opening, visas, licences, tax status and savings are not guaranteed. Regulated legal, tax, accounting and financial opinions are issued only by the qualified professional under the rules applicable to that service.

4. Client cooperation

The client supplies accurate and complete identity, ownership, beneficial ownership, business, residence, source-of-funds and relevant proceedings information, and promptly reports changes. The client provides requested documents on time and makes its own commercial decisions. Client delay extends the timetable; additional costs require an accepted quote.

5. Fees and third-party charges

The schedule sets out fees, currency, taxes, payment milestones and deliverables. Unless agreed otherwise, the agreed fees are payable before work starts. The agreed prices include the authority and third-party charges needed for the described engagement: none is billed on top. Outside the price, and borne by the client, remain the capital of its company, its own travel and personal expenses, sworn translations, apostilles and personal official documents required by an authority (criminal record extract, attestations), and any service added to the engagement, which is subject to a quote accepted in writing.

6. Payment

The accepted means of payment are bank transfer and USDT on the TRON network (TRC20); they appear on each invoice's payment page. Unless otherwise agreed in writing, the invoice is payable before execution work starts. A USDT payment is made only to the TRC20 address shown on the payment page; a transfer sent from another network does not arrive and remains the client's responsibility. An amount received below the sum due is recorded as a partial payment, with the balance remaining due. An amount well above the sum due, or coming from an address on a sanctions list, is reviewed before any acceptance. Network fees and the client's platform withdrawal fees are borne by the client.

7. Partners and confidentiality

AquaSands may use subcontractors selected and checked internally. It remains responsible for its own selection, instructions and oversight under the contract, while not guaranteeing sovereign decisions by banks or public bodies. Both parties protect confidential information, subject to necessary performance, legal requirements or consent. Personal data is handled under the privacy notice supplied to the client.

8. Suspension and termination

AquaSands may promptly suspend for missing documents, non-payment, sanctions risk, serious indications of unlawful conduct, or regulated activity for which required conditions are unmet. It informs the client where lawful and allows a reasonable cure period where possible.

Either party may terminate subject to mandatory law, including article 404 of the Swiss Code of Obligations where applicable. Where the mandate ends during performance, the work done and the costs incurred and documented are due; the balance of amounts paid is refunded. Compensation is due only for termination at an inopportune time (art. 404(2) Swiss Code of Obligations). Fees for the feasibility file already delivered remain acquired. The schedule governs annual services and renewal notice.

9. Liability

AquaSands undertakes an obligation of means. To the extent permitted by law (art. 100 Swiss Code of Obligations), it is liable only for wilful misconduct and gross negligence; purely indirect lost profits are excluded. This does not affect mandatory consumer rights.

10. Complaints and disputes

The client sends complaints identifying the matter and facts to contact@aquasands.net. The parties seek resolution for thirty days without restricting urgent court relief. Swiss law applies subject to mandatory consumer protections and mandatory laws of the place of performance. For business clients, the ordinary competent courts in Zug have jurisdiction, subject to mandatory venues. Consumer courts are determined by applicable mandatory rules, including any right to sue at the consumer's domicile. The governing law and venue above apply whichever AquaSands group company contracts (clause 1).

11. Miscellaneous

Changes to scope require a written amendment. Invalidity of one clause does not affect the rest. Electronic exchange and signing are accepted where lawful; a legally required form prevails. Mandatory consumer rights, including the right of withdrawal for consumers resident in the European Union, are set out in clause 12.

12. Consumer clients resident in the European Union

If you are a consumer resident in the European Union and the contract is concluded at a distance, you have a period of fourteen (14) days from its conclusion to withdraw, without giving any reason. You are informed of this right before signature. If you expressly request that performance begin before the end of this period and then withdraw, you owe us an amount proportionate to the services already provided; absent that express request, or absent the required information, nothing is owed for performance started during the period.

Model withdrawal form. Address it to the contracting company stated on your quote (clause 1), at contact@aquasands.net: « I hereby give notice that I withdraw from the services contract concluded on the stated date, under the stated reference. » State your name and address, the date and, on paper, your signature.
