In practice

The registered agent is the company's official contact with the registry: it receives notices, keeps certain registers and files returns. A change is usually made by a company resolution and a form filed with the registry, with the outgoing agent's consent or resignation. An outgoing agent may hold the file while its invoices remain unpaid, and the registry may refuse the transfer if the company is not in good standing. Hence the review before the change.

Framework and documents

The transfer follows the law of the jurisdiction: in the British Virgin Islands, through a notice filed with the Registrar of Corporate Affairs; elsewhere, through a resolution and a registry form. Documents usually requested: articles, registers of directors and shareholders, certificate of good standing, identity of the beneficial owners, a letter from the outgoing agent.
