US LLC for non-residents: Delaware, Wyoming or Florida?
The US LLC is the simplest way to collect in dollars from abroad. It also comes with rules, forms and limits: here is what our profiles record for the three states where we set it up most often.

What an LLC is, and what it is not
A Limited Liability Company is a limited liability entity under the law of a US state. For a non-resident with no US trade or business and no US-source income, our profiles record 0 % federal tax — a condition, not a granted regime: it is checked case by case.
The point most often missed: the LLC creates no exemption by itself. Its income stays taxable in the country where you live. As long as your tax residence does not genuinely move, a foreign company does not reduce your personal tax — see our page on tax residence.
Delaware: the most developed company law
Delaware offers the most developed company law in the United States and predictable case law; investors and platforms recognise it immediately. Registration takes 2 days according to our profile.
What comparisons often leave out: the Delaware annual tax. An LLC there pays a flat annual tax by 1 June. Our formation price in Delaware starts at €1,390, government fees included.
Wyoming and New Mexico: the lowest entry cost
To collect cleanly in dollars without changing your life, Wyoming and New Mexico carry the lowest entry cost in our catalogue for this need: formation from €1,290, registration in 5–10 days.
New Mexico requires no annual report and no member disclosure; Wyoming asks for an annual report with a licence tax. The difference between the two states is set out on the Delaware or Wyoming page.
Florida: market access, with one caution
Florida gives natural access to the US and Latin American markets, and local banks that are accessible if you travel for the opening. Formation starts at €999 and registration takes 5–7 days.
The caution: a Florida address combined with real activity in the state can create a US taxable establishment, and state tax applies as soon as there is effective presence. Weigh it before choosing this state.
Forms 5472 and 1120: the costly obligation
An LLC owned by a non-resident files Form 5472 and a pro forma 1120 every year. Our profiles record a USD 25,000 penalty for a missing Form 5472: it is the most expensive mistake in this set-up.
Our accounting and filings service takes care of these filings; in the United States it starts at €1,890 per year according to our profiles.
Banking: fintechs, in practice
- Delaware: fintechs (Mercury, Relay, Wise); deposit banks require physical presence.
- Wyoming and New Mexico: fintechs only, in practice, for a non-resident founder.
- Florida: fintechs, and local banks if you travel for the opening.
- In all three, our bank account opening service prepares the file: an obligation of means, never of result.
How to choose
The right state depends on what you will do with the company: raise funds and reassure investors, simply collect at the lowest cost, or genuinely operate on the US market. None of these pages is tax or legal advice; everything is validated case by case.
