Estonian company with e-Residency: what it allows and what it doesn't
Estonia promises a company run entirely online and no tax as long as profits stay in the company. That is accurate. But e-Residency is neither a residence permit nor tax residence, and that is where most mistakes are made.

The OÜ and e-Residency
The usual form is the Osaühing (OÜ), the Estonian private limited company. E-Residency, available since 2014, lets you run it remotely: signatures, filings and formalities are done online. The incorporation time recorded on our Estonia profile is 2 to 3 weeks.
Since 2023, no minimum share capital needs to be locked up to form an OÜ; we recommend €2,500. An Estonian contact person and a legal address are mandatory: both are included in our service.
Tax: 0% as long as profits stay in the company
Reinvested profits are not taxed. Tax arises on distribution, at a rate of 22/78 of the amount distributed. It is a deferral, not an exemption: the company that distributes pays.
These rates were recorded on 21 September 2026 and their official source checked on 30 September 2026. They remain to be checked for your case: nothing here is tax advice.
What e-Residency does not do
E-Residency is neither a residence permit nor tax residence. It does not allow you to live in Estonia and does not move your personal tax.
Above all, the place of effective management remains enforceable: if you run the company from your country of residence, that country's tax authority may treat the company as taxable there. That is the limit our profile points out, and the one that turns a sound structure into a tax reassessment. Tax residence is handled separately.
Banking
Our assessment: good access on the fintech side (LHV, Wise), but traditional Baltic banks remain reluctant without a local link. An OÜ with no activity or ties in Estonia opens more easily with a fintech than with a traditional bank.
Our bank account opening service prepares the substance file and targets institutions whose appetite matches your profile.
What an OÜ costs

- Company formation: €3,290 one-off
- Registered office: €999, then €999 per year
- Bank account opening: €4,590 one-off
- Accounting, filings and audit: €1,890, then €1,890 per year
- Renewal and upkeep: €999, then €999 per year
Estonia, Bulgaria or the United Kingdom
Bulgaria taxes profits at 10% and dividends at 5%, but to benefit fully from the rate, management must be exercised from Bulgaria. Formation there is published at the same price, €3,290, with a timeline of 3 to 5 weeks. See Estonia or Bulgaria and United Kingdom or Estonia.
Estonia suits someone who wants to reinvest in the company and run it online, knowing where they really live. A free 20-minute call is enough to check this, with a firm quote before signature: book a call.
