Economic substance: what it requires of a 0% company
A 0% rate is no longer enough. In the jurisdictions that offer it, economic substance rules require certain companies to prove genuine activity on the ground. A registered office address alone does not cover that obligation.

What "substance" means
Substance is proof that a company exists where it is registered: expenditure, staff, premises, decisions taken locally. It is not a document you buy; it is a reality you demonstrate.
According to our profiles, the requirement varies widely between jurisdictions and with the activity. Nothing here is tax or legal advice: your case is checked during the scoping call.
British Virgin Islands: the typical case
In the British Virgin Islands, the rate is 0%, but economic substance rules apply. Certain activities (holding, financing, intellectual property, group headquarters) must demonstrate expenditure, staff and premises in the territory. A registered office does not cover that obligation, and its insufficiency must be declared.
Since 1 January 2023, every company also files an annual financial return with its registered agent; it is neither audited nor public. Our assessment of banking access: difficult, with few banks still accepting a company without a strong operational link.
Cayman Islands: the same logic
In the Cayman Islands, the same 0% rate and the same substance obligations as the BVI apply, with an annual declaration of the substance level achieved. The exempted company is formed to do business mainly outside the Cayman Islands.
Since 31 July 2024, beneficial owners (25% threshold) are reported to the authorities, with no public register. Outside investment fund structures, banking access is all but impossible in our assessment.
Cyprus: effective management
In Cyprus, tax is around 15% on profits, and the first question is control: without a resident director and decisions taken locally, the company remains taxable where you live.
The address satisfies the registered-office requirement, but not this management-and-control test. In return, banking access is good: an EU member, with SEPA transfers without friction.
Jersey, Guernsey, Isle of Man
Jersey, Guernsey and the Isle of Man apply a 0% rate, with 10% or 20% for certain activities. Our survey does not establish their local substance criteria: they are assessed according to the activity, case by case.
Their beneficial ownership registers are not public; each company confirms or files its details with the registry every year.
Key points
A free 20-minute call is enough to check whether your activity can meet these requirements, with a firm quote before signature: book a call. Our BVI or Seychelles comparison covers two neighbouring options.
- A registered office alone is not substance.
- Substance depends on the activity, not only on the country.
- A company run from your home remains exposed to your country's tax.
- Banks also judge substance before opening an account.
Frequently asked questions
What is a company's economic substance?
Proof of genuine activity where the company is registered: expenditure, staff, premises, decisions taken locally. A registered office address alone does not constitute it.
Does a BVI company need substance?
For certain activities, yes: holding, financing, intellectual property or group headquarters must demonstrate expenditure, staff and premises in the territory.
Is a Cypriot company run from France taxed in Cyprus?
Cyprus applies a management-and-control test: without a resident director and decisions taken locally, the company remains taxable where you live.
Is a 0% rate enough to pay no tax?
No: substance rules and the place of effective management also decide where the company is taxed. Your case is checked during the call.
