Redomiciliation: moving a company without dissolving it
A company does not have to stay where it was born. Redomiciliation moves it to another jurisdiction while keeping its legal personality, its seniority and its contracts. Both countries still have to accept it.

What redomiciliation is
Redomiciliation moves an existing company to another jurisdiction, without loss of legal personality or seniority. The company stays the same: same history, same contracts, same accounts, under another law.
It is often the best option when a company already has activity, clients and a bank, but its original jurisdiction no longer suits it.
The first condition: continuation
Not every jurisdiction permits continuation. The country of departure must allow the exit and the country of arrival must accept the entry. That is the first check in our service, before any commitment.
Where it is impossible, a new company must be formed and the assets transferred, which has tax consequences to be costed before deciding. Nothing here is tax advice: your case is checked during the scoping call.
The steps
Our redomiciliation service starts at €999; the price is set according to the two jurisdictions, with a firm quote before signature.
- Checking that both jurisdictions permit continuation.
- Obtaining the certificate of good standing and the required consents.
- Filing in the receiving jurisdiction and striking off in the original one.
- Transferring the bank accounts and attached contracts.
Before leaving: the arrears
A company with missing filings, registers not kept or deadlines passed has difficulty obtaining its certificate of good standing. Arrears have to be regularised before the transfer.
It is the same work as a change of agent: a compliance audit first, regularising the arrears, then resuming the filing calendar. Taking over a file without knowing what is missing means inheriting someone else's penalties.
If the company has no reason to exist
Sometimes the right decision is not to move the company but to close it properly. A company abandoned without strike-off keeps generating penalties and can engage its directors' liability: abandonment is not an exit.
Our dissolution and strike-off service settles liabilities, closes the accounts, files the closing returns and delivers the certificate of strike-off, to be retained.
How to choose
An active, well-kept company in two jurisdictions that accept continuation: redomiciliation. Continuation impossible: a new company, with a costed asset transfer. A company with no future: dissolution, done properly.
A free 20-minute call is enough to decide, with a firm quote before signature: book a call.
Frequently asked questions
Can a company be moved to another country?
Yes, if both jurisdictions permit continuation: the company then keeps its legal personality and seniority.
What if continuation is impossible?
Form a new company and transfer the assets to it, which has tax consequences to be costed before deciding.
Does a company need to be regularised before redomiciliation?
Yes: without up-to-date filings, the certificate of good standing is hard to obtain. The compliance audit comes first.
How much does redomiciliation cost?
Our service starts at €999; the price is set according to the two jurisdictions, with a firm quote before signature.
